Meanwhile, Switzerland's second-largest bank, Credit Suisse, makes news because billions of dollars in U.S. taxes are going unpaid due to some wealthy Americans allegedly using secret Credit Suisse bank accounts. Lesson learned: It's always smart to be on good terms with the Internal Revenue Service. And, boy, do times change.

Banco Santander (Brasil) S.A. (Santander Brasil), incorporated on August 9, 1985, is a full-service bank in Brazil. The Bank operates its business along three segments: Commercial Banking, Global Wholesale Banking and Asset Management and Insurance. Through its Commercial Banking segment, the Bank offers traditional banking services, including checking and savings accounts, home and automobile financing, unsecured consumer financing, checking account overdraft loans, credit cards and payroll loans to mid- and high-income individuals and corporations (other than to its Global Banking and Markets clients). Its Global Wholesale Banking segment provides financial services and solutions to a group of approximately 700 local and multinational conglomerates, offering such products as global transaction banking, syndicated lending, corporate finance, equity and treasury. Investment Activities

As of December 31, 2010, the book value of the investment securities was R$84.7 billion (representing 22.6% of its total assets). Brazilian government securities totaled R$55.8 billion, or 65.9% of the Bank�� investment! securiti! es as of December 31, 2010. As of December 31, 2010, the Bank held no securities of single issuers or related group of companies whose aggregate book or market value exceed 10% of stockholders��equity, other than Brazilian government securities, which represented 76.9% of its stockholders��equity.

Sources of Funds

The Bank offers its customers a variety of deposit products, such as current accounts (also referred to as demand deposits), which do not bear interest; traditional savings accounts, which earn the Brazilian reference rate for savings accounts (taxa referencial) plus 0.5% per month, as set by the federal government, and time deposits, which are represented by certificates of bank deposits (CDBs), which normally have a maturity of less than 36 months and earn interest at a fixed or floating rate. In addition, it accepts deposits from financial institutions as part of its treasury operations, which are represented by certificates of interbank deposit CDIs, and which earn the interbank deposit rate.

    Banco Santander Brasil (BSBR) is another Brazilian stock that's getting shoved lower on big volume following the country's election results. The Rousseff administration's willingness to step in and impart new rules on the private sector is the catalyst here. And Petrobras and Banco Santander Brasil aren't in a vacuum here; the Ibovespa index is down more than 3.4% overall as I write.

     

    The technical story in BSBR is pretty nasty here. Shares violated support at $6.40 back in early October, falling through that long-term price floor, and then confirming last week that it was now a resistance level. $5.80 looks like the next meaningful support level on the way down, but it's a weak one.

Hot Oil Companies For 2015: Dollar Tree Inc.(DLTR)

Dollar Tree, Inc. operates discount variety stores in the United States and Canada. Its stores offer merchandise primarily at the fixed price of $1.00. The company operates its stores under the names of Dollar Tree, Deal$, Dollar Tree Deal$, Dollar Giant, and Dollar Bills.     David Paul Morris/Bloomberg via Getty Images Family Dollar Stores (FDO) rejected a $9 billion buyout offer from Dollar General (DG) and issued a sharp rebuke to accusations its CEO favors a smaller bid from Dollar Tree (DLTR) because it would allow him to keep his job. Family Dollar, the second-largest dollar store in the United States, said it believed a deal with its larger rival would be unlikely to win antitrust approval despite a promise by Dollar General to close up to 700 stores.

    We will not jeopardize the Dollar Tree deal for a transaction with Dollar General that has a high likelihood of not closing due to antitrust considerations.

    Janet S. Carter/AP Dollar General (DG) upped its bid for the rival Family Dollar chain and addressed an earlier roadblock, saying that it will more than double the number of stores it would shed to tamp down the antitrust concerns of its takeover target. The newest bid is worth $9.1 billion, or $80 a share, up from $78.50 a share in the previous offer. Family Dollar (FDO), based in Matthews, North Carolina, rejected the earlier bid in favor of a lesser offer of $8.5 billion from Dollar Tree (DLTR), saying that regulators were less likely to stand in the way. On Tuesday Dollar General, the country's largest dollar-store chain, said it would divest as many as 1,500 stores, well above the 700 that it had originally agreed to, in order to sidestep any anti-monopoly actions that regulators might pursue. The Goodlettsville, Tennessee, company has also said it will pay a $500 million reverse break-up fee to Family Dollar Stores if the deal hits antitrust roadblocks. Dollar General Chairman and CEO Rick Dreiling said that a second antitrust review supported its prior bid, but that its offer was revised "to demonstrate the seriousness of our commitment." The businesses of Family Dollar and Dollar General are more similar than Dollar Tree's. The first two sell items at a variety of prices while at Dollar Tree, all items are a buck. Family Dollar has been looking for a lifeline after running into some financial stress, shuttering stores and cutting prices. In June one big shareholder, Carl Icahn, urged the company to put itself up for sale. Family Dollar acted one month later, accepting an offer from Chesapeake, Virginia-based Dollar Tree of $59.60 in cash and the equivalent of $14.90 in shares of Dollar Tree for each share held. The companies valued the transaction at $74.50 a share at the time. Including debt and other costs, Family Dollar and Dollar Tree estimated the deal to be worth approximately $9.2 billion. Shares of Family Dollar added 54 cents to $80.

This is where the rubber meets the road for investors of Cooper Tire & Rubber (NYSE: CTB  ) , as Indian tire manufacturer Apollo Tyres has offered to buy out�the U.S. manufacturer for $35 per share, or $2.5 billion.

The all-cash transaction represents a 40% premium to the average volume-weighted price of Cooper's stock over the past 30 days, according to the companies. The boards of directors of both companies have unanimously approved the sale. As of this writing, shares are trading at $34.51.

Cooper is the world's 11th-largest tire company by revenue, generating almost $4.1 billion over the 12 months ending March �31. Apollo is a well-known brand in many parts of the world and the merger of the two is expected to�deliver value creation benefits of approximately $80 million to $120�million in EBITDA annually, with full realization of the synergies coming after the third year. The gains will be driven by "operating scale, sourcing benefits, technology, product optimization, and manufacturing improvements," said the companies.

Walgreen Earnings Boosted by Boots Stake, Inventory Benefit

Earns WalgreenRussel A. Daniels/AP Walgreen Co.'s fiscal fourth-quarter earnings soared 86 percent, as the nation's largest drugstore chain booked gains from its method of inventory accounting and its acquisition of a stake in European health and beauty retailer Alliance Boots. The Deerfield, Ill., company said Tuesday that it earned $657 million, or 69 cents a share, in the quarter that ended Aug. 31. That compares with earnings of $353 million, or 39 cents a share, a year ago. Revenue climbed 5 percent to $17.94 billion. Adjusted earnings totaled 73 cents a share, excluding acquisition-related costs among other items. Analysts forecast earnings of 72 cents a share on $17.96 billion in revenue, according to FactSet. Walgreen (WAG) shares slipped 15 cents to $53.65 Tuesday before markets opened and after the company announced results. Walgreen recorded an $8 million "last-in-first-out" inventory benefit in this year's quarter, compared with a $132 million charge last year. LIFO is a method of accounting for inventory that assumes a company sells its newest inventory first. The company takes a credit or charge each quarter according to the anticipated inflation rate for the year. The company attributed the big swing to lower-than-anticipated prescription drug inventory ahead of a transition it made to AmerisourceBergen Corp. (ABC). Walgreen had announced earlier this year that it and Alliance Boots were buying an ownership stake in drug distributor AmerisourceBergen Corp. Walgreen also entered into a supply agreement with AmerisourceBergen for its drugstores, mail order and specialty pharmacy businesses. Last year, Walgreen acquired a 45 percent stake in Swiss-based Alliance Boots for about $4 billion in cash plus 83.4 million Walgreen shares. Walgreen then booked $124 million in equity earnings from its stake in this year's quarter. Walgreen runs the nation's largest chain of drugstores, with 8,116 locations nationwide. The company said an influx of generic drugs also continued to help its bottom line in the fiscal fourth quarter. Generic drugs, which are cheaper than brand-name medicines, have been helping drugstore chain earnings for several quarters now. They can hurt a drugstore's revenue because of their lower price, but they help profitability because they come with a wider margin between the cost for the pharmacy to purchase the drugs and the reimbursement it receives. Walgreen, which ranks 37th in the 2013 Fortune 500 list of biggest companies, earned $2.45 billion, or $2.56 a share, in fiscal 2013 on $72.22 billion in revenue. The company's shares closed at $53.80 Monday, which put the stock up more than 45 percent so far this year. SourcingLink.net, Inc., incorporated in 1994, was involved in developing and deploying merchandise-sourcing solutions for the retail industry prior to its operating assets sale in March 2004. The Company's Internet-based, hosted solutions for the pre-order phase of business-to-business merchandise procurement enabled retailers to organize, automate and reduce the cost of their merchandise-sourcing activities by locating and connecting directly with their retail merchandise suppliers around the globe. Its solution, branded MySourcingCenter, provided an online location for search, display and comparison functions, and linked and managed the data and communications between retailers and merchandise suppliers in industry-specific private environments, organizing and automating sourcing or pre-order merchandise procurement activities over the Internet. The majority of the Company's revenue through the fiscal years ended March 31, 2001 (fiscal 2001) to 2003 (fiscal 2003) was generated from a contract entered into, in March 2000, with Carrefour S.A. After completion of the Carrefour agreement, SourcingLink.net, Inc. was unable to procure additional contracts to replace the revenue generated by the Carrefour agreement.

SourcingLink.net sold its operating assets and intellectual property, and its two customer contracts in two separate transactions, in March 2004, (collectively, the operating assets sale), and ceased its operating business at that time. Its fixed assets, software, intellectual property and customer contracts related to Internet-based merchandise sourcing solution were sold to a third party in Europe.     Shares of electronic connector maker Molex Incorporated (MOLX) skyrocketed on Monday morning after reports that the company will be acquired by Koch Industries.

    Koch Industries has agreed to acquire Molex for a total of $7.2 billion. This deal will include all outstanding shares of the company’s Common Stock, Class A Common Stock and Class B Common Stock for $38.50 per share.

    The deal has been approved by the board of directors of both companies. Molex will continue to maintain its current management team and its current headquarters in Lisle, IL.

    Molex shares were up $9.15, or 31.17%, during Monday morning trading. The stock is up 41% YTD.

The Break-Up Of Emerging Markets In Full Swing

It's post-boom time for the emerging markets.  Depending on who you ask, emerging markets are caught between "crisis-mode" and "slower growth".  If Brazil, for example, can grow faster than the United States, it might just be seen as a miracle these days. Emerging markets are  not what they were once cracked up to be. And the recent noise over Fed tapering out of quantitative easing mode is making matters worse for what was once the greatest growth story on the planet.

"For years we've watched the emerging markets be an index buyers market or a country buyers market," said Charles Stucke, chief investment officer of Guggenheim Investment Advisors. "Today, we think there is real opportunity for stock picking in emerging. This is no longer a place to be passive. You have to be very active. And even then it is going to be a bumpy ride."

This week The Economist is running an online debate with Morgan Stanley economist and author of "Breakout Nations" Ruchir Sharma saying the growth story is winding down and National University of Singapore professor Kishore Mahbubani saying oh no it isn't. In an online poll at the magazine, 59% say the period of fast growth in emerging markets is now behind us.

Although the worst may be over for the asset class, many fund managers  now believe that differentiation is set to drive returns in emerging markets. That doesn't mean investors are going to be choosing between the iShares MSCI Brazil (EWZ) exchange traded fund and the iShares MSCI Mexico (EWW) ETF.  It's time to kick the tires on the ground in these markets and look at the stocks of individual companies compared to their competitors in the same, or similar markets.

It's bottoms-up time in emerging.

"There's a lot of differentiation between the players than you've ever had before," said Joel Wells, a fund manager at Alpine in Purchase, NY. He compares the different Brazilian real estate developers for instance.  Take São Paulo based $1.5 billion home builder EZTEC, beating the market year-to-date and up 3.11% with a 2.05% yield. Gafisa on the other hand, the only ADR in the Brazilian homebuilder space, has seen its market cap collapse to less than half a billion today. That stock is down 50.5% and has no yield.

Emerging markets are suffering for different reasons. Policy missteps in Brazil and India. Weak exports and lackluster domestic demand in China.  That's one side of the coin. The other side is the Federal Reserve and the upcoming questions over tapering.

Markets hate uncertainty. Risk markets like emerging hate it more. As a result, investors are starting to look at these markets differently. These aren't uniform boom towns anymore.

"We have uncertainty around Fed tapering, even though we have a sense of what it is going to do. And we have the uncertainty about the emerging market growth model," said Wells. "Investors can no longer just look at the macro or make decisions on a top down basis. You have to be bottom up and that is a lot harder for us.  We think that once we get through this period of volatility, that differentiation will pay off."

Barclays Capital analyst Jose Wynn said in a note to clients on Tuesday that while now is not the time to be caught holding emerging markets, these developing economies are clearly breaking up into four distinct classes.

BarCap's New Big Four

There's no acronym for the break up of the emerging markets. But here is where Wynn thinks some emerging market nations are diverging, from the best to the so-so.  Wynn views emerging through a fixed income lens. (Ranking definitions are my own.)

1. First Class. These are markets where credit and rates have held up during the recent sell-off in Treasury bonds. Israel, Poland, Czech Republic, Chile, and Korea are in this category.

2. Second Class. This group is characterized by stable credit and stable sell-offs in rates and currencies. Mexico and Colombia fit this description.  Central banks in the mature EM group have shown better inflation records. Barclays'  forex models suggest their currencies are close to fair value.
